Welcome to Nodexeus Technologies. These Terms of Service ("Terms") govern your use of the infrastructure hosting services ("Services") provided by Nodexeus Technologies ("we," "our," or "us"). By using our Services, you agree to be bound by these Terms.

1. Scope of Services

Nodexeus Technologies offers infrastructure hosting services purpose-built for modern, performance-sensitive workloads, with particular emphasis on high performance infrastructure and artificial intelligence (AI) compute environments. Our Services encompass a range of offerings, including access to bare-metal servers, custom container-based deployments, private networking, and optional monitoring or automation tooling.

Our infrastructure is optimized to support high-throughput infrastructure and AI workloads such as model training, inference, and data-intensive tasks. Customers may deploy their own software stacks or request tailored deployment assistance, subject to mutually agreed upon specifications.

We operate our hosting environments across geographically distributed locations to promote resilience and scalability, and we offer support for specific network configurations, secure remote access, storage management, and system-level customizations. Services may vary in capabilities and availability depending on hardware selection, network topology, and other technical and operational constraints.

Unless explicitly defined in a separate managed services agreement, the Customer retains full responsibility for the configuration, operation, and maintenance of any applications or software deployed on the infrastructure we provide.

2. Service Commitment and Availability

Nodexeus Technologies is committed to delivering a stable and secure hosting environment and will take all commercially reasonable measures to maintain system integrity and service continuity. This includes proactive monitoring, scheduled maintenance windows, redundancy planning, and rapid incident response where feasible.

However, all Services are provided on a best-effort basis, and no guarantees are made regarding uptime, latency, throughput, or uninterrupted access. We do not provide service-level guarantees or warranties unless explicitly outlined in a separate agreement. Customers acknowledge that factors such as hardware failure, upstream provider outages, force majeure events, or software misconfiguration may affect service availability.

We value transparency and will make every effort to communicate known issues, planned maintenance events, or service disruptions in a timely and responsible manner.

3. Customer Responsibilities

As a Customer of Nodexeus Technologies, you are responsible for:

• Ensuring your use of the Services complies with all applicable laws and regulations;
• Managing and maintaining the security, configuration, and patching of any software or tools installed on your infrastructure (unless otherwise covered under a managed service);
• Maintaining the confidentiality of your access credentials and account information;
• Avoiding usage that could reasonably be deemed malicious, abusive, illegal, or harmful to the network, other customers, or the broader internet ecosystem.

You agree not to use the Services to run unauthorized blockchain forks, spam networks, distribute malware, or otherwise conduct activities that may disrupt our infrastructure or violate third-party terms of service.

4. Limitation of Liability

To the maximum extent permitted under applicable law, Nodexeus Technologies shall not be held liable for any indirect, incidental, consequential, punitive, or special damages—including but not limited to loss of profits, data, or revenue—arising out of or related to the use or inability to use our Services, even if we have been advised of the possibility of such damages.

In no event shall our total liability, whether in contract, warranty, tort (including negligence), or otherwise, exceed the amount paid by you to Nodexeus Technologies in the twelve (12) months preceding the event giving rise to the claim.

5. Modifications

We reserve the right to modify these Terms at any time. If changes are made, we will post the updated version on our website and indicate the date of the most recent revision at the top of the document. Substantive changes may be communicated via email or platform notifications. Continued use of our Services after such modifications constitutes your acceptance of the revised Terms.
